These Terms of Service (“Terms”) govern your access to and use of our website, services, audits, consulting, systems build-outs, and related digital products (collectively, the “Services”). By using IDSAI’s Services, you agree to these Terms. If you do not agree, do not use the site or purchase Services.

IDSAI provides AI-supported consulting, audits, strategy, and website/system design. All Services are advisory and informational in nature. IDSAI does not guarantee business outcomes, revenue increases, or performance results.

2. Who We Serve

IDSAI works with individuals and businesses worldwide. We operate fully online and communicate primarily through email and scheduled virtual meetings. You must be at least 18 years old to use our Services.

IDSAI operates from a private home office. For safety and security reasons, a physical mailing address is not publicly listed.

You agree to use our website and Services only for lawful purposes. You agree not to:

• Copy, scrape, or harvest site content for use in AI model training or commercial reuse;
• Reverse engineer, probe, or attempt to bypass security or technical protections;
• Interfere with site performance, functionality, or availability;
• Misrepresent your identity or affiliation;
• Attempt unauthorized access to any restricted or non-public portion of the site or systems.

IDSAI may suspend or terminate access to the website or Services if we believe your use violates these Terms or applicable law.

5. Services Provided

IDSAI offers various Services, which may include, without limitation:

• Website builds, with sliding-scale pricing based on business size and complexity;
• AI-See Audit (visibility and AI-readiness analysis);
• 90-Day implementation roadmaps;
• “Build With Me” systems programs and implementation support;
• Strategic consulting sessions;
• The Breakaway Club membership and related resources.

The specific scope, deliverables, and pricing for each Service are described on our website or in direct communication before purchase. IDSAI may modify, add, or discontinue Services at any time.

6. Payment Terms

Unless stated otherwise in writing, all payments are due at the time of booking or purchase. Prices are listed in U.S. dollars and may change without prior notice for future clients or projects.

6.1 Refund Policy

Because our work is strategic, advisory, and time-based, all sales are considered final once IDSAI has begun work on a project or has delivered any portion of the Service.

Refunds are only available if:

• No work has yet begun on the project; and
• No consulting time, analysis, audit, or preparation has been delivered or started.

For membership-based offerings (such as the Breakaway Club), you may cancel before the next billing cycle to avoid future charges. Previous charges are non-refundable unless required by law.

Initiating a chargeback without first attempting to resolve the issue with IDSAI will be treated as a breach of these Terms.

7. Client Responsibilities

To enable IDSAI to deliver Services effectively, you agree to:

• Provide accurate and complete information when requested;
• Respond in a timely manner to emails and information requests;
• Maintain access to your own accounts, platforms, and tools;
• Back up your own website and data regularly;
• Use recommendations and deliverables responsibly and in line with applicable laws.

IDSAI is not responsible for delays or incomplete results arising from missing information, slow responses, or client-side technical issues.

8. Intellectual Property

Unless explicitly stated otherwise in a separate written agreement, all content created by IDSAI—including audits, reports, roadmaps, strategies, copy, templates, graphics, systems documentation, and training materials (collectively, “IDSAI Materials”)—is owned by IDSAI.

Subject to full payment, clients receive a non-exclusive license to use IDSAI Materials for their own business.

You may not:

• Sell, resell, or redistribute IDSAI Materials to third parties;
• Publish IDSAI Materials publicly without attribution or permission (excluding your own website copy);
• Claim IDSAI’s work as your independent creation;
• Use IDSAI Materials to train AI models or power competing advisory products without written consent.

9. Limitations of Liability

All Services are provided “as is” and “as available.” IDSAI does not guarantee specific business results, income levels, rankings, traffic, or performance outcomes.

To the fullest extent permitted by law:

• IDSAI will not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from or in connection with your use of the website or Services;
• IDSAI’s total cumulative liability for any claim related to the Services will not exceed the amount you paid for the specific Service giving rise to the claim.

You are responsible for evaluating and implementing any recommendations, and for complying with all applicable laws and regulations in your jurisdiction.

10. AI Ethics and Humans-First Commitment

IDSAI operates under a humans-first approach to AI integration. This means we use AI tools to enhance clarity and efficiency—not to replace human judgment or reduce human responsibility.

We commit that:

• Human judgment remains central to all strategic recommendations;
• Client data is not used to train AI models or external AI systems;
• AI tools are used in ways intended to be ethical, transparent, and safety-conscious;
• We will not knowingly support harmful, deceptive, or discriminatory AI use cases.

By using our Services, you agree not to apply IDSAI’s recommendations or deliverables to create or promote harmful, abusive, or unethical systems.

11. Termination

IDSAI reserves the right to refuse service, cancel an engagement, or terminate a relationship if, in our judgment:

• A client engages in abusive, threatening, or harassing behavior;
• A client violates these Terms or applicable laws;
• A conflict of interest, ethical concern, or reputational risk arises;
• Chargeback fraud or similar conduct is suspected.

Any work already completed or time already invested will be handled according to the refund rules in Section 6.

12. Third-Party Links and Tools

Our website and Services may reference or link to third-party tools, platforms, or websites. These third parties have their own terms and privacy practices, which we do not control. IDSAI is not responsible for the content, security, or policies of any third-party site or service.

13. Changes to These Terms

IDSAI may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of the website or Services after changes are posted constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law rules. Any dispute arising from or relating to these Terms or the Services will be handled in the appropriate state or federal courts located in Missouri, unless otherwise required by law.
